"Agreement" refers to the completed application form, its attachments, and the terms and conditions stated herein. It shall be considered executed in Ahmedabad, Gujarat.
"Company" refers to Franchisewale, a subsidiary of KPS Capital Partners LLP, including its website franchisewale.in.
"Date of Commencement" is the date on which the User's application for service is accepted.
"Date of Termination" refers to the date specified in the termination notice or letter, or the date on which the services are scheduled to end.
"Franchisewale.in" refers to the Company's website or mobile application at www.franchisewale.in.
"My Subscriptions" contains up-to-date information and descriptions of the services provided by the Company, either in writing or through the website.
"Registration Data" refers to the database of all details and information provided by the User during initial application and subscription, including but not limited to the User's name, contact number, account details, and email address.
"User" includes all Subscribers, Advertisers, and Browsers/Visitors, whether individuals or corporate entities, who access or utilize the Company's services for hosting, publishing, sharing, listing, transacting, viewing, displaying, or uploading information. The term also includes successors and permitted assignees.
Words referring to the masculine include the feminine, singular includes plural, and vice versa as required by context. The term "persons" includes individuals, corporate bodies, and unincorporated entities.
These Terms constitute a valid and binding contract between the Parties and shall remain in effect as long as the User accesses the Site or Application and avails of the Company's services.

Services can be purchased using multiple payment methods, subject to additional policies such as subscription fees, payment and refund terms, and cancellation policies.
Users must be at least eighteen (18) years old and legally competent to enter into a binding contract. Minors under 18 may use the service only under the supervision and guidance of a parent or legal guardian, who must register an account on their behalf. Users agree to provide complete and accurate registration details, including name, age, email, address, and contact number.
Applicable Subscription Fees are listed on the "My Subscriptions" page and may be revised periodically by the Company.
These terms outline the rights and obligations of Users accessing Franchisewale’s platform and services.
Payment Term:All payments for services must be made in full and in advance. Payments made for any subscribed service are non-refundable and will be deemed as utilized upon payment. Any potential refund is at the sole discretion of Franchisewale.
The user acknowledges and agrees that Franchisewale reserves the right to adjust any payments made against outstanding dues under any other agreement or business engagement with the Company.
Franchisewale does not guarantee the accuracy or timeliness of any refund process. This is due to the involvement of multiple organizations in online transactions, issues with internet infrastructure, and financial institution working days/holidays.
cancellation Policy:Franchisewale retains full authority to cancel or prevent the publication of any content on its website or any other platform. Any cancellation charges applicable shall be as per the terms outlined in the cancellation and refund policy.
For Platinum listing packages, no cancellation or refund shall be permitted for payments made through online payment options, except in cases where payment was made via cheque or demand draft. Cancellation requests for cheque/demand draft payments will only be considered if the payment has not been realized by the Company.
Security Measures:Transactions carried out on the Franchisewale website are secure and protected. All user-entered data is encrypted to prevent unauthorized disclosure. Franchisewale does not receive, store, or retain credit/debit card details. These details are handled directly by the authorized payment gateway in compliance with financial regulations.
Users must maintain the confidentiality of their login credentials and take necessary precautions to prevent unauthorized access. If a user ID or password is lost or stolen, the user must immediately notify Franchisewale in writing. The user remains liable for all transactions until such notification is acknowledged.
The provided login credentials must only be used by the registered organization and its employees. Unauthorized access, sharing, or distribution of login information is strictly prohibited.
Users are not permitted to use automated software to extract data from the Franchisewale database without prior written consent
Franchisewale is not liable for any fraudulent transactions or unauthorized deductions from a user's bank account.
Intellectual Property & Data Usage:Users grant Franchisewale a non-exclusive, worldwide, royalty-free, irrevocable, and sublicensable right to use, modify, and distribute any material or data submitted, excluding sensitive financial details.
Users must ensure that the submitted data is accurate, complete, and not misleading. Franchisewale reserves the right to remove incorrect or false data upon verification of a complaint.
Indemnification:Users agree to indemnify and hold Franchisewale harmless against any claims, liabilities, or legal actions arising from incorrect or misleading information submitted to the website. Users warrant that all entered data is accurate and does not infringe on any third-party rights.
By using Franchisewale services, users acknowledge and accept all terms outlined in this policy.
By using the Site, the User agrees to comply with all of the above terms and acknowledges that failure to do so may result in suspension or termination of access.
All logos, brands, trademarks, and service marks ("Marks") displayed on FranchiseWale are either owned by or used under license by FranchiseWale or its affiliates. All rights, whether statutory or otherwise, associated with these Marks shall remain the sole property of FranchiseWale and its affiliates. Access to FranchiseWale does not grant the User any license, right, or permission to use these Marks in any manner. Any unauthorized use of these Marks is strictly prohibited and may result in legal consequences under the applicable laws of India.
FranchiseWale respects the Intellectual Property Rights of all individuals and organizations and remains committed to complying with all relevant laws in India regarding intellectual property. FranchiseWale will take appropriate measures to protect the Intellectual Property Rights of its Users and third parties. If any User is found using the FranchiseWale platform to infringe upon the Intellectual Property Rights of others, FranchiseWale reserves the right to terminate this Agreement immediately, without prior notice.
By granting access to FranchiseWale, the Company provides Users with a limited, non-exclusive, non-transferable, and revocable license ("License") to access and use the Services, provided that the User complies with all terms and conditions of this Agreement.
Unless expressly agreed upon in writing, nothing in this Agreement grants the User the right to use any of FranchiseWale's trade names, trademarks, service marks, logos, domain names, content, questions, answers, solutions, reports, or other distinctive brand features, except as specified in these Terms. All logos, trademarks, brand names, service marks, domain names, designs, and graphics created or developed by FranchiseWale remain the exclusive property of the Company. Furthermore, FranchiseWale shall retain full ownership of all designs, graphics, and related materials associated with the platform.
For the purpose of this Agreement, including its attachments and renewals, "Confidential Information" refers to all financial, commercial, technical, operational, staff, management, and other information, data, and know-how related to the Project/Franchise or to a party (the "Disclosing Party," hereinafter referred to as the Company) or any other member of the Disclosing Party's corporate group. This includes, but is not limited to, information regarding products and services, assets, customers, databases, suppliers, employees, and any other information that is confidential or proprietary in nature. Confidential Information may be provided orally, in writing, or in any other form, and is not generally available to the public.
The "Receiving Party" (hereinafter referred to as the User) agrees to maintain the confidentiality of this information and not disclose any part of it to any third party, except to the Receiving Party's Associates, if required, and with prior written consent from the Disclosing Party. The Receiving Party shall take all necessary precautions to protect the Confidential Information from unauthorized access and shall ensure that its Associates, to whom such information is disclosed, comply with the terms of this Agreement as though they were a party to it. If necessary, the Receiving Party will obtain a written undertaking from its employees/associates who have access to such Confidential Information, agreeing to abide by the confidentiality provisions of this Agreement. All Confidential Information shall be kept separate, secure, and at the usual place of business (or franchise, as applicable) of the Receiving Party.
The Receiving Party shall not use, reproduce, transform, or store the Confidential Information without prior written consent from the Company, except where disclosure is required by law or legal process issued by a court or a competent regulatory body.
Upon request from the Disclosing Party, including at the time of termination of this Agreement, the Receiving Party shall return all original documents, records, data, and other materials containing any part of the Confidential Information that is in the Receiving Party's possession or control. The obligations of confidentiality outlined in this Agreement shall remain in effect even after the termination of this Agreement, regardless of the reason.
Any information and data submitted by the User shall become the property of FranchiseWale. However, FranchiseWale will treat this information with strict confidentiality and will not release it to any third party, except in cases outlined in the "Violation of Terms & Conditions" clause, and only with the User's prior consent.
The User has access solely to their own data and information stored in the FranchiseWale database (subject to identity verification) and is not entitled to access any other data. The User may edit or amend their own data as needed.
Any confidential information (such as name, email address, etc.) voluntarily shared by the User in chat or bulletin board areas is done at the User's sole discretion and risk. If this information is collected by third parties and misused, or if it results in unsolicited messages from third parties, FranchiseWale is not responsible for such actions. The Company disclaims any responsibility or liability for misuse of User data by third parties.
FranchiseWale reserves the exclusive right to amend, modify, or change the terms and conditions outlined herein, as well as those in the Services Guide, at any time.
This Agreement will be updated periodically, and the revised Terms of Use will be posted on FranchiseWale.in. Users are encouraged to visit the site regularly to review the most current Terms of Use. For the avoidance of doubt, continued use of the Service by the User after such updates constitutes acceptance and acknowledgment of the amended terms and conditions.
FranchiseWale reserves the right to add, change, delete, or discontinue any Service at its sole discretion, with or without notice to the User. For services that are paid, a pro-rated refund will be issued for any unused portion of the service period.
FranchiseWale will not be liable to the User or any third party if it exercises its right to modify or discontinue any Service.
FranchiseWale may, at its sole discretion and without providing any reason, deactivate or suspend the services (as applicable) at any time, without prior notice, in order to perform system maintenance, upgrades, testing, repairs, or any other related work. Additionally, the User's access to FranchiseWale.in may be affected during such periods.
Notwithstanding any other provisions in this agreement, FranchiseWale will not be liable for any loss, damage, costs, or expenses incurred by the User as a result of such deactivation or suspension. Furthermore, no fees or charges payable by the User to FranchiseWale will be refunded, deducted, or rebated due to any such deactivation or suspension.
FranchiseWale does not maintain or control the content of external websites, services, goods, or advertisements that may be linked to our site. As such, we are not responsible for the availability, accuracy, content, or privacy practices of any third-party websites, services, or goods linked to or advertised on our website.
If our site contains hyperlinks to third-party websites, please note that these websites are not under the control of FranchiseWale. We are not responsible for the content of any linked third-party website. These links are provided solely for your convenience, and the inclusion of any link does not imply an endorsement or approval of the linked website by FranchiseWale. Either party to this agreement may terminate the Agreement by providing 30 days' written notice in advance. FranchiseWale may, at its discretion, waive the 30-day notice period or accept a shorter notice period in writing from the User.
However, FranchiseWale reserves the right to terminate this Agreement immediately, without prior notice and without providing any reasons, under the following circumstances: (a) if FranchiseWale believes the User has violated any terms or conditions of this Agreement, (b) if FranchiseWale or any regulatory authority deems it not in the public interest to continue providing the service to the User, or (c) if the User is declared bankrupt or enters into any arrangement or compromise with creditors. This termination will be without prejudice to any other rights FranchiseWale may have.
If the Agreement is terminated in accordance with the provisions outlined in Clause A or B above, without affecting any other remedies available to FranchiseWale, the User will remain liable for the Subscription Fees due up until the Termination Date.
Any amounts owed by the User to FranchiseWale upon termination must be paid within 30 days from the Termination Date.
If any payments due from the User to FranchiseWale are not made on time, FranchiseWale reserves the right to suspend the services provided to the User, without affecting any other rights or remedies available to it.
When the services subscribed to are suspended, it will be considered as terminated, with the termination date set by FranchiseWale. The User will remain liable for all charges and fees incurred until that date.
If the User subsequently makes the required payment, FranchiseWale may, at its discretion and under terms it deems appropriate, restore the services.
In the event of a violation of the Terms, Franchisewale reserves the right to pursue any legal remedies at its sole discretion. This may include, but is not limited to, the immediate removal of any content that violates these Terms from our site, the cancellation of your account, and/or the exclusion of any individual(s) found to be in violation of the Terms & Conditions. Franchisewale may also seek injunctive relief from any court with proper jurisdiction. Additionally, we may take action against violators under applicable criminal and/or civil laws as outlined by relevant Acts, Rules, and regulations.
Franchisewale will fully cooperate with any investigation conducted by Central, State, or local authorities, courts, or tribunals, as deemed necessary. This cooperation may occur without prior notice to the User. If Franchisewale believes, in its sole discretion, that any advertisement or service could potentially create liability for the company, it may take prudent or necessary measures to minimize or eliminate such liability. This may include, but is not limited to, the disclosure of User information.
Ultimately, Franchisewale reserves the right to refuse service to anyone at any time, remove any listings, advertisements, or content, and take any actions it deems necessary, without prior notice or explanation.
